Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the SENTIENT Artspace platform (“the Platform”), presented by SENTIENT Furniture Inc. (“SENTIENT,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. The Platform

SENTIENT Artspace is a curated platform dedicated to artists, galleries, designers, and creative practitioners based in Brooklyn, New York. The Platform provides public profile pages, discovery tools, and community features. SENTIENT reserves the right to modify, suspend, or discontinue the Platform at any time without notice.

3. Eligibility and Account Access

You must be at least 16 years of age to use the Platform. Profile applications are open to artists, galleries, designers, and creative practitioners with a genuine connection to Brooklyn. SENTIENT reserves the right to decline or remove any application or profile at its discretion.

Access to profile management features requires authentication via a one-time email link. You are responsible for maintaining the security of your email account and for all activity that occurs under your profile.

4. Profile Content and Submissions

By submitting content to the Platform — including text, biography, exhibition history, and contact details — you represent that the content is accurate, that you have the right to submit it, and that it does not infringe the intellectual property or other rights of any third party.

SENTIENT reserves the right to edit, remove, or decline to publish any profile content that violates these Terms or that we determine, in our sole discretion, is inappropriate for the Platform.

5. Image and Media Rights

By uploading images, photographs, videos, or other media to the Platform, you grant SENTIENT Furniture Inc. a non-exclusive, royalty-free, worldwide, sublicensable licence to use, reproduce, display, distribute, adapt, and publish such media for the following purposes:

• Displaying your profile and work on the SENTIENT Artspace platform and any associated SENTIENT digital properties.
• Promoting SENTIENT Artspace and the creative community it represents through SENTIENT's social media accounts, newsletters, editorial content, print publications, and paid advertising and promotional campaigns.
• Featuring your work in SENTIENT Gallery exhibitions, event materials, press materials, and other promotional contexts.

This licence does not transfer ownership of your work. You retain full copyright over all images and media you upload. SENTIENT will credit the artist or gallery where practicable in promotional contexts.

You represent and warrant that you own or hold all necessary rights to any media uploaded, and that SENTIENT's use of such media as described above will not infringe the rights of any third party. You agree to indemnify SENTIENT against any claims arising from a breach of this warranty.

6. Intellectual Property

The Platform, including its design, layout, code, text, and editorial curation, is the property of SENTIENT Furniture Inc. and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Platform content without express written permission from SENTIENT, except as necessary for your personal, non-commercial use of the Platform.

7. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent profile information.
• Claim ownership of a profile that represents another person or organisation without authorisation.
• Use the Platform to harass, defame, or infringe the rights of others.
• Attempt to gain unauthorised access to any part of the Platform or its underlying systems.
• Scrape, crawl, or systematically extract data from the Platform without SENTIENT's prior written consent.
• Use the Platform for any unlawful purpose or in violation of applicable law.

8. Termination

SENTIENT may suspend or remove your access to the Platform, or remove your profile, at any time for any reason, including but not limited to a violation of these Terms. You may request removal of your profile at any time by contacting us.

9. Disclaimers

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. SENTIENT does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. Profile information is submitted by third parties and SENTIENT does not verify its accuracy.

10. Limitation of Liability

To the fullest extent permitted by applicable law, SENTIENT Furniture Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, even if advised of the possibility of such damages. Our total liability to you for any claim arising from your use of the Platform shall not exceed one hundred US dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless SENTIENT Furniture Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to your use of the Platform, your profile content, or your breach of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

13. Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms on this page with a revised date. Your continued use of the Platform after any revision constitutes your acceptance of the updated Terms.
